What is an S corporation?

An S corporation is simply a Florida corporation that has elected a special tax status. Most Florida businesses elect S corporation status when filing. S corporation status permits the income of the corporation to be passed through to the shareholders. This results in the shareholders reporting the income or loss from the corporation in their tax returns.

To qualify for S corporation status the corporation must be domestic, have only one class of stock and not have more than 100 stockholders.

What is a C Corporation?

A corporation in Florida is a legal entity that exists independently from its owners, transacts business in Florida and has incorporated with the State of Florida. There are many reasons to form a Florida corporation including limited liability, which allows the corporation's obligations to be separate from the stockholders. However, the most popular reason people incorporate has to do with the personal assets of its owners. Incorporating your business allows you to safeguard your assets against potential claims from creditors. The stockholders of the corporation are typically not liable for the ordinary debts of the corporation.

What is a Limited Liability Company (LLC)?

A limited liability company in Florida is a flexible entity that offers several benefits over filing as a corporation. Forming an LLC limits the liability of managers and managing members. Organizational changes, obligations, voting powers, structure, distribution rights and more can all be made in the operating agreement. A limited liability company does not require the same specific formalities on a regular basis as corporations, and similar to S corporation tax status, does not pay taxes themselves.

What is a Fictitious Name (DBA)?

A fictitious name or DBA (Doing Business As) is filed if you will be doing business as another name other than your corporation, LLC, partnership or personal name. A fictitious name in Florida is only a filing to say you are doing business with that name.

A fictitious name cannot have the words "Corporation", "Incorporated", "Inc.", "Corp", "LLC", or "Limited Liability Company" unless the business for which the name is registered is incorporated or has obtained a certificate of authority to transact business in this state. (Florida Statutes 607 and 617)
